Please read these Terms carefully before using WAItag. By creating an account or using our service, you agree to be bound by these Terms.

1. Overview of Terms

These Terms of Service ("Terms") are published by Only Filaments Ltd, trading as WAItag ("WAItag", "we", "us", or "our"), a company registered in England and Wales. These Terms govern your access to and use of our website, online owner portal, mobile application, and pet identification tag service (collectively, the "Service"). Please read these Terms carefully before using the Service.

2. Your Acceptance of These Terms

By creating an account, placing an order, scanning a WAItag, or otherwise accessing or using any part of our Service, you confirm that you have read, understood, and agree to be bound by these Terms and all policies referenced within them, including our Privacy Policy.

If you do not agree to these Terms, you must immediately discontinue all use of our website and Service.

3. Additional Terms

Certain parts of the Service may be subject to additional terms and conditions, which will be presented to you when you access those features. Any additional terms form part of your agreement with us. In the event of a conflict between these Terms and any additional terms, those additional terms shall prevail in respect of the relevant feature or service.

4. Privacy Policy; Use of Your Information

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. If you do not agree with our Privacy Policy, you must cease using the Service immediately.

5. Eligible Individuals

To use WAItag, you must: (a) be at least 18 years of age or the age of legal majority in your jurisdiction; (b) have the legal capacity to enter into a binding contract under applicable law; and (c) use the Service in compliance with all applicable local, national, and international laws and regulations.

If you do not meet these requirements, you are not permitted to use the Service. By using WAItag, you represent and warrant that you meet all of the above eligibility requirements.

6. User Account

Account Creation & Information: When creating an account, you must provide accurate, current, and complete information, including your name and email address. You are responsible for keeping this information up to date. You may update your details at any time through your account portal or by contacting us at terms@waitag.com. Providing inaccurate or misleading information may result in the suspension or termination of your account.

Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must use a strong, unique password and are encouraged to update it periodically. You must not share your credentials with any third party. If you suspect any unauthorised access to or use of your account, you must notify us immediately at terms@waitag.com. WAItag accepts no liability for any loss or damage arising from your failure to maintain the security of your account credentials.

Account Management: We reserve the right to limit, suspend, or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms. In the event of termination for cause, no refund will be issued.

7. WAItag Service Terms

How the Service Works: WAItag provides NFC-enabled pet identification tags that, when scanned by any NFC-compatible smartphone, link to your pet's online profile. The Service is designed to assist in the identification and recovery of lost pets. A basic pet profile is available to all registered users at no charge beyond postage and packaging for the physical tag.

Tag Costs: Physical WAItags are provided free of charge. Users are responsible for paying postage and packaging costs, which are displayed at checkout. Shipping is fulfilled via Royal Mail or equivalent courier services. Pricing may vary based on delivery location and is subject to change.

Premium Features: Certain features - including lost mode, scan notifications, detailed scan analytics, instant contact options, and support for multiple pet profiles - require a paid subscription (Pro or Pro+). Receipt of a physical WAItag does not entitle you to any premium features; a subscription must be purchased separately.

Tag Usage Responsibilities: You are responsible for securely attaching your WAItag to your pet's collar or harness. You must ensure that your pet's profile information is accurate, current, and complete at all times. Outdated or incorrect information may hinder the recovery of a lost pet.

Shipping & Activation: You are responsible for providing an accurate and complete delivery address at the time of order. WAItag accepts no liability for tags lost, delayed, or undelivered due to an incorrect address being provided. Once received, you must activate your tag by registering it through your account portal or by scanning it to initiate the registration process. Failure to activate your tag will result in limited or no Service functionality.

Notifications & Alerts: As part of the Service, we may send you notifications by email, push notification, and - for Pro and Pro+ subscribers - SMS text message, to keep you informed about scans, sightings, and lost pet activity relating to your pet. Standard message and data rates from your mobile provider may apply to SMS alerts. Where you add another person's mobile number as an additional contact to receive alerts, you confirm that you have that person's consent for us to send SMS messages to their number on your behalf. You can manage or disable notifications at any time through your account and device settings.

No Recovery Guarantee: While WAItag is designed to assist in the identification and recovery of lost pets, we do not and cannot guarantee the recovery of any lost pet. The effectiveness of the Service depends on a third party scanning the tag and following through on the information provided. WAItag accepts no liability for the failure to recover a lost pet.

Service Availability: The Service relies on third-party infrastructure, including network providers and hosting services. We do not warrant that the Service will be available at all times, free from errors, or meet your specific expectations. WAItag accepts no liability for service interruptions caused by third-party failures, maintenance, or circumstances beyond our control.

8. WAItag Globe & Community Features

The WAItag Globe is a community feature that allows any person - including those without a WAItag account - to report a sighting of a lost or found pet. Sightings submitted to the Globe are publicly visible on the map.

You must only submit genuine, accurate sighting reports. Submitting false, misleading, or malicious reports is strictly prohibited and may result in legal consequences.

WAItag accepts no liability for the accuracy, completeness, or timeliness of sighting reports submitted by third parties. The Globe is a community-driven tool provided in good faith; we cannot guarantee that any sighting will lead to a successful pet recovery.

WAItag reserves the right to remove any sighting report that it deems false, inappropriate, or in breach of these Terms.

Other Community Features: In addition to the Globe, the Service includes community features that allow you to connect with other pet owners ("pet friends"), share posts and photographs in an activity feed, and save and share walking spots. Content you choose to make public, or to share with your connections, may be visible to other users of the Service. Your use of all community features is subject to the content standards and community conduct rules set out in Section 12 and the Prohibited Uses set out in Section 14.

9. Subscriptions & Payments

Subscription Plans & Pricing: WAItag offers the following subscription tiers: Free (included with tag registration), Pro (single pet, enhanced features), and Pro+ (multiple pets, full feature set). Monthly and annual billing options are available. Current pricing is displayed on our Plans page and is subject to change. Subscription fees are inclusive of VAT where applicable.

Currency: All prices are displayed and charged in Pounds Sterling (GBP). Your bank or payment provider may apply currency conversion fees if your payment method is denominated in another currency; WAItag accepts no liability for any such fees.

Failed Payments: If a payment is declined or fails, we will notify you by email and may attempt to retry the payment. If payment continues to fail, your account will be downgraded to the Free tier until a valid payment is received. Access to premium features will be suspended during this period.

Billing Issues & Support: If you believe you have been incorrectly charged, please contact us at terms@waitag.com as soon as possible. We will make every reasonable effort to resolve billing disputes promptly. We ask that you contact us before initiating any chargeback with your bank, as we are often able to resolve issues directly and more quickly.

Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle (monthly or annual) at the then-current subscription rate, unless cancelled before the renewal date via your account portal. We will send a renewal reminder to your registered email address prior to each renewal, including the charge amount, billing period, and instructions for cancellation. Introductory or promotional pricing does not carry over to standard renewal rates.

Cancellation: You may cancel your subscription at any time through your account portal. Upon cancellation, you will retain access to premium features until the end of your current billing period. No partial refunds are issued for unused portions of a billing cycle.

Refund Policy: If you cancel your first monthly subscription within 14 days of subscribing, you are entitled to a full refund. If you cancel your first annual subscription within 30 days of subscribing, you are entitled to a full refund. No refunds will be issued after the applicable grace period. Termination for Cause: If your account is terminated due to a breach of these Terms, your subscription will be cancelled immediately without refund, and you must cease using the Service.

10. Payment Processing

All payments - including tag postage and subscription fees - are processed securely by Stripe, a third-party payment processor. WAItag does not store your card details at any time. By submitting a payment, you authorise WAItag and Stripe to charge the applicable fees to your designated payment method.

By making a payment, you warrant that: (a) you are the authorised holder of the payment method used, or have the express permission of the authorised holder; and (b) the payment method has sufficient funds or credit to cover the applicable charges.

WAItag may retain your payment method information on file for the purpose of processing future subscription renewals, unless you remove it from your account.

11. Intellectual Property Rights & Licence

Ownership: All content on the WAItag website and portal - including but not limited to text, descriptions, photographs, images, graphics, logos, icons, audio clips, digital downloads, data compilations, and software - is owned by Only Filaments Ltd or its licensors and is protected by copyright, trademark, patent, and other applicable intellectual property laws in the United Kingdom and internationally. All rights are reserved.

Limited Licence: We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the WAItag website and portal solely for personal, non-commercial purposes in accordance with these Terms.

Prohibited Uses: You must not modify, reproduce, distribute, publish, transmit, publicly display or perform, or create derivative works from any part of our Service or content without our prior written consent. You must not use data mining tools, robots, scrapers, or similar data-gathering or extraction technologies on the Service. You must not use any meta tags or hidden text that incorporates WAItag's name, trademarks, or service marks without prior written consent.

Trademarks: You must not use WAItag's name, logo, trademarks, or service marks without our prior written consent. You must not use our trademarks in connection with any product or service that is not ours, in any manner likely to cause confusion, or in any manner that disparages or discredits WAItag.

12. User-Submitted Content

You are solely responsible for all content you submit to the Service, including pet profile information, photographs, and contact details. By submitting content, you warrant that you have the right to do so and that your content does not infringe any third-party intellectual property rights, contain unlawful material, or include viruses or harmful code.

You must not submit false information or misrepresent yourself or your pet. WAItag reserves the right - but is not obligated - to review, edit, or remove any user-submitted content that we consider to be inaccurate, inappropriate, unlawful, or in breach of these Terms.

By submitting content to WAItag, you grant us a non-exclusive, royalty-free licence to use, display, and distribute that content as necessary to provide the Service. WAItag assumes no liability for the accuracy or legality of user-submitted content.

Community Content Standards: Where the Service allows you to post content that is visible to other users - including posts, photographs, and shared walking spots - you must not submit content that is unlawful, abusive, harassing, threatening, defamatory, obscene, hateful, or otherwise objectionable, and you must not harass, bully, or impersonate any other person. We operate a zero-tolerance approach to objectionable content and abusive behaviour in our community features.

Moderation & Reporting: Photographs uploaded to public areas of the Service are automatically screened before publication. If you encounter content or conduct that you believe breaches these Terms, you can report it to us at terms@waitag.com, or by using any reporting tools provided within the Service. We aim to review reports and, where appropriate, remove content or take action against the responsible user within a reasonable period. We reserve the right - but are not obligated - to remove any content, and to suspend or terminate the account of any user, that we consider to be in breach of these Terms.

13. Errors, Inaccuracies & Omissions

We reserve the right to correct any errors, inaccuracies, or omissions on our website or portal - including those relating to pricing, promotions, product descriptions, and availability - at any time without prior notice. We are not obligated to update, amend, or clarify information on the Service except where required by applicable law.

14. Prohibited Uses

In addition to restrictions stated elsewhere in these Terms, you agree not to:

(a) Create or submit false pet profiles, lost pet alerts, or globe sightings, or any other misleading information; (b) Attempt to gain unauthorised access to any other user's account or personal information; (c) Use the Service for any unlawful purpose, including fraud, or in connection with soliciting others to engage in unlawful acts; (d) Scrape, harvest, collect, or track the personal information of other users without their consent; (e) Spam or abuse the lost pet alert or globe reporting system in a manner that is disruptive to other users; (f) Use, share, or distribute content that infringes the intellectual property rights of WAItag or any third party; (g) Upload or transmit viruses, malware, or any code designed to interfere with or damage the functionality or security of the Service; (h) Interfere with or attempt to bypass the security features of the Service; (i) Resell, sublicence, or commercially exploit any part of the Service without our prior written consent; (j) Post, share, or transmit content that is unlawful, abusive, harassing, threatening, defamatory, obscene, hateful, or otherwise objectionable through any community feature; (k) Harass, bully, stalk, intimidate, or impersonate any other user or person through the Service.

Violation of any of the above may result in immediate termination of your access to the Service and may expose you to legal liability.

15. Termination

These Terms remain in effect until terminated by either you or WAItag. You may terminate your account at any time by ceasing to use the Service and notifying us at terms@waitag.com.

We may terminate or suspend your access to the Service at any time, with or without notice, if we reasonably believe you have failed to comply with any provision of these Terms or have engaged in conduct that is harmful to other users, third parties, or WAItag's reputation or legal interests. In such cases, you remain liable for all amounts owed up to the date of termination, and your right to access the Service ceases immediately.

All provisions of these Terms that by their nature should survive termination will do so, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitation of liability.

16. Disclaimer of Warranties

THE WAITAG SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK. YOU BEAR FULL RESPONSIBILITY FOR ALL DECISIONS AND ACTIONS TAKEN BY YOU BASED ON INFORMATION OBTAINED FROM OR THROUGH THE SERVICE.

We make no representations or warranties, express or implied, regarding: (a) the reliability, accuracy, or availability of the Service; (b) the ability of the Service to successfully locate or facilitate the recovery of a lost pet; (c) the accuracy or completeness of any pet profile, globe sighting, or other user-submitted content displayed through the Service; or (d) the suitability of the Service for any particular purpose.

To the fullest extent permitted by applicable law, WAItag disclaims all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant that any defects in the Service will be corrected.

The pet identification and recovery aspect of the Service involves inherent uncertainty. Whether a lost pet is found and returned depends entirely on factors outside our control, including but not limited to: whether a third party scans the tag; whether the third party acts on the information displayed; the accuracy of information entered by the pet owner; and the availability of mobile network connectivity at the time of scanning. WAItag does not guarantee any specific outcome and accepts no liability for the failure to locate or recover a lost pet under any circumstances.

WAItag is not responsible for the conduct, actions, or omissions of any third party who scans a WAItag, views a pet profile, or submits a sighting report through the Globe. Any decisions or actions taken by you in response to information provided by third parties through the Service are taken entirely at your own risk.

No advice or information, whether oral or written, obtained from WAItag or through the Service - including from our support team, website, or portal - creates any warranty not expressly stated in these Terms.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONLY FILAMENTS LTD, INCLUDING ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, SUBCONTRACTORS, AND SUPPLIERS, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE. THIS INCLUDES, WITHOUT LIMITATION: LOSS OF PROFITS; LOSS OF REVENUE; LOSS OF DATA; LOSS OF GOODWILL; LOSS OF BUSINESS OR BUSINESS INTERRUPTION; LOSS OF ANTICIPATED SAVINGS; THE LOSS OF, FAILURE TO LOCATE, OR FAILURE TO RECOVER A LOST PET; HARM TO A PET ARISING FROM RELIANCE ON INFORMATION DISPLAYED THROUGH THE SERVICE; RELIANCE ON ANY USER-SUBMITTED CONTENT OR GLOBE SIGHTING; AND ANY SERVICE INTERRUPTIONS, ERRORS, OR MALFUNCTIONS - WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WAITAG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Service Limitations Acknowledged: The WAItag Service is intended solely as an aid to pet identification and recovery. It is not a substitute for other pet safety measures, including but not limited to microchipping, engraved ID discs, or secure fencing and enclosures. The Service will not necessarily meet your expectations in every situation, and we make no commitment to correct every error or limitation of the Service.

Sole Remedy: If you are dissatisfied with the Service, any content on the Service, or any provision of these Terms, your sole and exclusive remedy is to discontinue use of the WAItag website, portal, and all associated features, and where applicable, to cancel your subscription in accordance with Section 9.

Liability Cap: To the extent that any liability of Only Filaments Ltd cannot be excluded under applicable law, our total aggregate liability to you for all claims arising under or in connection with these Terms or your use of the Service shall not exceed the greater of: (a) the total amount paid by you to WAItag in the 12 months immediately preceding the event giving rise to the claim; or (b) £100.

Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under the laws of England and Wales.

18. Indemnification

You agree to indemnify, defend, and hold harmless Only Filaments Ltd and its parent company, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from and against any and all third-party claims, liabilities, damages, judgements, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of any provision of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights, including intellectual property rights; or (d) any content you submit to the Service.

19. App Store Terms

This section applies if you download and use a WAItag mobile application ("App") from the Apple App Store or Google Play Store. It applies in addition to the rest of these Terms; in the event of a conflict, this section prevails in respect of your use of the App.

Relationship with App Store Providers: These Terms are agreed solely between you and Only Filaments Ltd. Apple Inc. and Google LLC (and their subsidiaries) ("App Store Providers") are not parties to these Terms and are not responsible for the App or its content. Any App Store Provider whose platform you use to download the App is a third-party beneficiary of the terms set out in this section only, and upon your acceptance of these Terms, that App Store Provider will have the right to enforce those terms against you as a third-party beneficiary.

Responsibility: Only Filaments Ltd is solely responsible for the App and its content. In the event of any conflict between these Terms and the terms of service of the relevant App Store Provider, the stricter of the two shall prevail in respect of your use of the App.

Maintenance & Support: App Store Providers have no obligation whatsoever to provide any maintenance or support services in relation to the App. All maintenance and support is the sole responsibility of Only Filaments Ltd. If you have any issues with the App, please contact us at terms@waitag.com.

Warranties: App Store Providers make no warranties in respect of the App, whether express or implied. In the event of any failure of the App to conform to any applicable warranty, you may notify the relevant App Store Provider, which may refund the purchase price (if any) of the App to you. To the maximum extent permitted by applicable law, App Store Providers will have no other warranty obligation in respect of the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the sole responsibility of Only Filaments Ltd.

Claims: Only Filaments Ltd, not the App Store Providers, is responsible for addressing any claims you or any third party may have relating to the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; (c) claims arising under consumer protection or similar legislation; and (d) intellectual property infringement claims.

Compliance: You represent and warrant that: (a) you are not located in a country that is subject to a UK, EU, or US government embargo, or that has been designated as a "terrorist supporting" country; and (b) you are not listed on any UK, EU, or US government list of prohibited or restricted parties.

20. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to any conflict of law principles.

Any dispute arising out of or in connection with these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. By using the Service, you waive any objection to the exercise of jurisdiction over you by such courts or to the venue of proceedings in those courts.

If you are located outside the United Kingdom, you are responsible for ensuring that your use of the Service complies with all applicable local laws and regulations.

21. Changes to These Terms

We reserve the right to update, change, or replace any part of these Terms at any time, including in response to changes in applicable law, updates to the Service, or changes to our business practices. When we make material changes, we will notify you by email and will update the "Last updated" date at the top of this page. The most current version of these Terms will always be available on this page.

It is your responsibility to review these Terms periodically. Your continued use of the Service following the posting of any changes constitutes your acceptance of the revised Terms.

22. Third-Party Tools & Links

The Service may include links to or integrations with third-party websites, tools, or services. These are provided "as is" and "as available" without warranties or endorsements of any kind. WAItag does not control, review, or monitor third-party content and accepts no liability for any damages, losses, or issues arising from your use of third-party services. Your use of any third-party service is governed by that party's own terms and privacy policies, which you should review before use.

Any new features, tools, or services added to WAItag in the future will be subject to these Terms, along with any additional terms introduced at that time.

23. General Terms

(a) Entire Agreement: These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and WAItag with respect to the Service and supersede all prior agreements, understandings, representations, and warranties, whether oral or written.

(b) Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be severed from the remainder of the Terms, which will continue in full force and effect. We will replace any severed provision with a valid provision that most closely reflects the original intent.

(c) No Waiver: Our failure or delay in enforcing any right or provision of these Terms at any time does not constitute a waiver of that right or provision. Any waiver of a breach or default does not constitute a waiver of any subsequent breach or default.

(d) Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Your account rights are personal to you and terminate upon your death. WAItag may freely assign or transfer its rights and obligations under these Terms without restriction.

(e) Force Majeure: We will not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, power failures, or third-party service disruptions.

(f) Electronic Communications: By creating an account, you consent to receiving communications from us electronically, including by email. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.

(g) No Partnership: Use of the Service does not create any partnership, agency, joint venture, or fiduciary relationship between you and WAItag. You must not represent yourself as an agent, employee, or representative of WAItag.

(h) Feedback: We welcome any feedback, suggestions, or ideas you wish to share with us. By submitting feedback, you grant WAItag a non-exclusive, royalty-free, perpetual, irrevocable licence to use, modify, publish, and distribute that feedback in any media without obligation, compensation, or confidentiality.
